Parchem Club Membership

Terms and conditions

1.1 “Parchem” means Parchem Construction Supplies Pty Ltd (ABN 80 069 961 968) of 7 Lucca Road, Wyong NSW 2259. Parchem provides the Parchem Club Membership (“the Parchem Club”).

1.2 The Parchem Club is only open to selected business who are customers of Parchem and who are invited to become part of the Parchem Club as determined by Parchem in its absolute discretion (each an “Eligible Business”). An Eligible Business who joins the Parchem Club will be deemed a Member.

1.3 By becoming a Member, the Member accepts these Terms and Conditions.

1.4 Parchem’s decision on all matters pertaining to the Parchem Club, including but not limited to any dispute as to the identity of a Member and eligibility to become a Member is final and binding. No correspondence will be entered into.


2 Membership benefits

2.1 The Parchem Club will offer Members exclusive offers, reward programs and promotions from time to time (“Offers”), as determined by Parchem, including being notified of these Offers.

2.2 The Offers will be subject to additional terms and conditions, as notified by Parchem.


3 How to participate

3.1 To become a Member, an authorised representative of the Eligible Business must complete the membership application form and provide all required information. All applications are subject to the approval of Parchem in its absolute discretion.

3.2 An authorised representative who enrolls their Eligible Business in the Parchem Club warrants that they have the authority to do so. Parchem accepts no responsibility if the authorised representative has not obtained the requisite authority.


4 Privacy notice and consent; agreement to be contacted

4.1 Personal information will be collected and held in accordance with the Parchem’s privacy policy which can be access at www.parchem.com.au. By applying to the Parchem Club, you are providing consent or, if the personal information you provide is not information about you, must obtain consent, to Parchem’s collection, use and disclosure of the personal Information in accordance with Parchem’s privacy policy.

4.2 In addition to the purposes set out in the privacy policy, Parchem collects personal information in order to conduct the Parchem Club and may, for this purpose, disclose such information to third parties, including but not limited to agents, contractors, service providers and suppliers. You acknowledge and consent that Parchem may, for an indefinite period, unless otherwise advised, use the information for promotional, marketing, publicity, research and profiling purposes, including but not limited to, sending electronic messages or telephoning the Member or authorised representative. You acknowledge that, subject to certain exceptions allowed by law, you are able to gain access to personal information we hold about you. Members or authorised representatives should direct any request to access, update or correct information to Parchem.


5. Cancellations, variations and changes

5.1 The Member must notify Parchem in writing if a Member wishes to cancel registration with the Parchem Club.

5.2 Parchem may, in its absolute discretion:

(a) change, amend or vary these terms and conditions or the Parchem Club, including but not limited to, where the Parchem Club cannot operate as originally intended by Parchem;

(b) cancel the Parchem Club in whole in its absolute discretion at any time without prior notice; or

(c) exclude a Member from, or cancel a Member’s registration participation in, the Parchem Club

without prior notice to the Member. Any change to the terms and conditions will take effect from the date of posting at www.parchemclub.com.au

5.3 Without in any way limiting the rights of Parchem as set out in clause 5.2, if a Member is, at any time, in breach of the Member’s trading terms with Parchem, Parchem may suspend or cancel the Member’s registration in the Parchem Club.

5.4 Parchem is not liable for any loss or damage suffered by Members resulting from such withdrawals, cancellations, variations or change as set out in clause 5.2 or arising from the Parchem Club, except for any liability which cannot be excluded by law.

Terms and conditions

1. Definitions

1.1 In these terms and conditions:

“Net Sales Dollars” are the dollars of sales made by the Promoter of Product to a Participant exclusive of any returns, discounts, GST and credits. For the sake of clarity, Net Sales Dollars will include Product that is actually purchased and not returned. If the Product is returned and the Participant is provided a credit, then the credit will only count towards Net Sales Dollars if it is used for the purchase of additional Product during the Term. The quantum of Product purchases will be measured in Net Sales Dollars.

“Participant” means a participant in the Program.

“Product” means the range of Product sold by the Promoter.

“Program” means the Parchem Club Reward Program.

“Promoter” means Parchem Construction Supplies Pty Ltd (ABN 80 069 961 968) of 7 Lucca Road, Wyong NSW 2259.

“Points” means the points allocated pursuant to the Program.

“Points Level” means the number of Points specified by the Promoter that correspond to a particular Reward.

“Points Redemption Period” means the period during which all Points may be redeemed - commencing 14 March 2013 and ending on 30 April 2013.

“Points Statement” means the Points statement issued pursuant to this Program after the conclusion indicating the number of Points achieved by a Participant.

“Reward” means a reward specified by the Promoter that may be awarded pursuant to a Participant through the Program.

“Target” means the target set by the Promoter for a Participant in respect of the Net Sales Dollars during the Term.

“Term” means the period commencing 1 September 2012 and ending either on 28 February 2013 or whenever the Program is terminated by the Promoter, whichever is the earlier.

1.2 As a condition of entry, the Participant accepts these terms and conditions and any rules, policies or procedures that may be adopted by the Promoter from time to time. Any failure to comply with these terms and conditions, or rules, policies or procedures that may be adopted by the Promoter from time to time, or any misrepresentations of information to the Promoter or its agents may result in the termination of the Participant's registration in the Program and the cancellation of any Points.

1.3 Any information on how to enter and claim Points and Rewards form part of these terms and conditions. To the extent of any inconsistency, these terms and conditions prevail.

1.4 Only customers of the Promoter who are members of the Parchem Club are eligible to be a Participant, excluding government organisations, the Promoter’s agents, employees, large customers and such other organisations as determined by the Promoter in its absolute discretion.

1.5 The Promoter’s decision on all matters pertaining to the Program, including but not limited to any dispute as to the identity of a Participant, eligibility to become a Participant or Points accumulated by a Participant is final and binding. No correspondence will be entered into.

2 Points and redemption

2.1 The Promoter will in its absolute discretion set a Target for each Participant of the amount of Net Sales Dollars that the Participant needs to achieve during the Term. The Target will be notified to the Participant on the website, by post, email and/or SMS according to the contact details supplied by the Participant’s representative. For the purpose of the Program, the Net Sales Dollars and Target will be calculated excluding GST.

2.2 If, at the end of the Term, a Participant meets its Target, the Participant will be awarded two Points for every Net Sales Dollar achieved by the Participant over the Term.

2.3 During the Term the Promoter may, in its absolute discretion, offer bonus points for various reasons of performance to any Participant. The bonus points will be additional to the Points achieved on Net Sales Dollar. Additional conditions may apply to the issue of bonus points.

2.4 Between 14 March 2013 and 29 March 2012, the Promoter will issue a Points Statement to those Participants who qualified to claim any Rewards.

2.5 Participants may, during the Points Redemption Period, redeem their accumulated Points for Rewards with a corresponding Points Level. All claims must be submitted to the Promoter during the Points Redemption Period. Claims not received during this period will be automatically forfeited by the Participant. All claims must be made in accordance with any Reward claim instructions as provided by the Promoter to the Participant to be valid. A Participant cannot claim a Reward unless the Participant has accumulated the relevant amount of Points, as evidenced on the Participant's Points Statement, which corresponds with the specified number of Points required for the Reward(s) selected. The Promoter may vary the Points required for any Reward at any time without notice for any reason whatsoever. The Promoter reserves the right to withhold a Reward from a Participant where that Participant is not in compliance with the Promoter's standard trading terms. Participants should allow 8 weeks from the time a claim has been lodged to receive a Reward, depending upon its availability. Most Rewards will need to be collected from a Parchem store nominated by the Promoter and will not be delivered by the Promoter.

2.6 Where a Participant returns a Product, any Points the Participant received for the purchase of that Product will be deducted from the Participant’s accumulated Points. If the Participant claims a Reward or Rewards, and subsequently returns Product to Parchem for a refund for which they received Points which originally entitled them to claim that Reward or Rewards, then they will be required to pay the recommended retail price for that Reward or Rewards.

2.7 Unless otherwise specified by the Promoter, Points are not transferable and must be redeemed by the Participant to whom the Points were issued.

2.8 Points cannot be exchanged for cash.

2.9 Rewards are not transferable or exchangeable and may not be returned for cash.

2.10 Points that are not used during the Points Redemption Period will expire at the end of the Points Redemption Period.

2.11 The Promoter reserves the right to substitute an alternative Reward of equivalent value, in the Promoter’s opinion, in the event that a particular Reward is not available.

2.12 Participants may not pool or combine Points in order to redeem a Reward or a Reward of greater value.

2.13 Points are valid for redemption for a Reward in the absolute discretion of the Promoter.

2.14 The Promoter is not required to verify that that the person claiming the Reward(s) is authorised to do so on behalf of the Participant.

2.15 Participants are responsible for ensuring that their contact details with the Promoter are correct. The Promoter does not accept responsibility for any application form, correspondence or Reward that is late, lost or damaged.

2.16 The Participant must notify the Promoter in writing if a Participant wishes to cancel registration with the Program.

3. Promoter’s rights

3.1 The Promoter may, in its absolute discretion:
(a) change, amend or vary these terms and conditions;
(b) change, amend, vary, withdraw or cancel any Reward or the value of any Reward;
(c) withdraw, cancel, vary or change at any time, Points or the value of future Points;
(d) cancel the Program in whole in its absolute discretion at any time;
(e) change, amend or vary a Participant’s Target; or
(f) exclude a Participant from, or cancel a Participant’s registration and participation in the Program without prior notice to a Participant.

To the extent permitted by law, the Promoter does not accept any liability for any loss or damage suffered by Participants resulting from the withdrawals, cancellations, variations or change set out in this clause 3.1.

3.2 Without in any way limiting the rights of the Promoter as set out in clause 3.1, if a Participant is, at any time during the Term, in breach of the Participant’s trading terms with the Promoter, the Promoter may cancel the Participant’s registration with the Program and any Points accumulated by the Participant.

3.3 The Promoter accepts no responsibility for any tax implications which may arise from the Program. Independent financial advice should be sought.

3.4 Reward descriptions are based upon the manufacturer’s information, unless otherwise stated. Installation and/or service of Rewards are not the responsibility of the Promoter.
